[H2] What are the key considerations when Selling an accountancy practice

Firstly, how do you find a buyer? Most sellers are understandably concerned about confidentiality and do not want the local business community to know that they are considering selling. The fear is that staff may become unsettled and look for other jobs; clients may start to look for other accountants and competitors may actively target your client base, repeating the rumour that you are about to retire. Many firms can identify a local firm that they believe would be interested and will approach them directly provided they are happy that confidentiality will be maintained. Alternatively, you may choose to employ a practice mergers and acquisition agent to represent you. This allows for the initial exploration to be anonymous and signed confidentiality statements put in place before information is exchanged.The price that you get on a sale depends on a number of factors. The desirability of the practice, the amount of fees involved, property issues, the pattern of payments sought and the extent of any warranties or claw back all affect the price. Typically, the price for smaller practices (say fees up to £400,000) will be based on a multiple of fees, either gross recurring fees or gross fees. Conversely, the price of larger practices (say fees of £1,000,000 or more) will often be based on a multiple of super-profits. This is the surplus profit after paying a salaried partner to take over the portfolio of the exiting partner.  The typical multiple will be three or four times super-profits, although as always, individual deals can vary significantly.

[H2] If there were such a thing as a standard deal when selling an accountancy practice (say £250,000 fees) then it might look like this:

Price: £250,000 (i.e. 1 x gross fees), assuming no major problems in the practice. In reality, this number can vary from about 0.8 to 1.2 or even 1.4.

Payment terms: on completion: 40%; another 30% after 12 months and the remaining 30% after 24 months. The initial payment can go up to 50%, and in exceptional circumstances can even be 100%, though the latter significantly reduces the price. Payment over three years or more can also apply, particularly to internal sales where funding is an issue.

Claw back: 100% if a client leaves straight after 12 months .Claw back can be applied to individual clients or to the portfolio as a whole. So, if a £10,000 client leaves straight away, £10,000 comes off the purchase price, reducing the second and / or third payments accordingly.

With the difficulty in obtaining finance in the current economy, different approaches are becoming more common. Rather than 33% to 50% cash up front, the payment can sometimes be spread equally over 24 or even 48 months. This is highly attractive to the buyer since the deal is virtually self-financing, and might be acceptable to a seller who has no great need for the cash up front.

Accountancy practice value / worth
How much are you looking to receive / pay for the accountancy practice is a key question. For the smaller practices with turnover over of around £200,000 the normal rate is around 1 to 1.4 of the annual turnover / fees. For larger practices above this annual billing rate, the final fee will be more influenced by overall profitability.How much is your practice worth in the current market conditions? Of course any business is only worth as much as another practice is willing to pay for it though the parameters above are a solid guide to the value. We are able to provide a ball park valuation from early conversations.If this is satisfactory and you wish to proceed with discussions with possible suitors we will undertake a more detailed valuation on your behalf providing a written valuation of your client base, goodwill and annual revenue.Within these discussion we can then take the proposal forward to the market and establish quality suitors for the business and a price that meets your agreed expectations.If we are negotiating between a number of parties then the price will be at the upper end of the scale of course.

Payment Method
Accountancy practice sales / purchases are normally an outright purchase via a capital payment. We do not normally recommend the earn out process of using the practice profits to fund the sale.

Anonymity of Sale
We will keep the anonymity of the vendor / acquirer until we are sure that each party is serious about the process.We will provide as much detail to each party whilst witholding the identities, until each part wish to be introduced.

PI Insurance
Run Off PI Insurance is an industry requirement for six years and is cover for the seller in the event a customer brings legal action against the practice. If you are selling and do not currently have cover, this is something that will need to be put in place.

Can the Seller Retain Clients
If the vendor wishes to retain clients then this will become part of the overall package for negotiation. The seller will normally have to give guarantees that no further clients will be taken on board after the sale has gone through. This is undertaken in the sale agreement warranties.

Post Sale Hand Over Timescales
Normally the seller and buyer will arrange a time period to stay on and hand over the business for smooth running. Normally this period would only be a few weeks.

Work in Progress
Any work in progress at the point of sale will be handed over to be completed by the acquirer with the hand over period assuring natural and seamless progress for the customers. The amount of work in progress will be stipulated in the agreement with a figure of around 80% returned to the seller and the remainder retained by the acquirer.

Debtors
The seller normally collects the outstanding debts.

Clawbacks
Clawback is where an acquirer can make a claim for a negotiated period of time with regards the overall revenue and customer position. Any agreed shortfall can be taken from a following tranche payment. Arrangements within the warranty can provide bases for the selling practice for example if the fees are much higher in the purchasing practice which may cause erosion of the customer / revenue base.

Transfer of Undertakings Regulations (Protection of Employment Act 1981 (T.U.P.E.)
If there are planned redundancies following an acquisition, TUPE states that the acquirer cannot arbitarily make personnel redundant within the acquired practice. Similar conditions apply to the ability to change working practices and conditions of employment. We always recommend seeking professional advice from a qualified solicitor

Existing Premises
If the seller has an existing building either Freehold or Leasehold then we will negotiate between the two parties to come to a suitable arrangement.

How Long will the process take?
There is no quick answer as each sale / purchase is different. The average is normally 3-4 months though.

Finance
Occasionally, a transaction may require finance. We have knowledge of specialist Financiers who can provide the backing to make a transaction successful.
