[H1] Highwinds Affiliate Publisher Terms & Conditions

This Publisher Terms and Conditions Agreement (the "Agreement") is entered into by and between Highwinds LLC ("Highwinds") and you, the individual or entity ("Publisher"), wishing to participate in the Highwinds Publisher Program (the "Program"). By enrolling in and using the Program, Publisher agrees to abide by these terms, as updated from time to time.

Highwinds reserves the right to update or modify this Agreement at any time by posting the revised version on its website at highwinds.com. Publisher's continued participation in the Program following any changes constitutes acceptance of the revised Agreement. The most current version supersedes all prior versions.

[H2] 1. The Publisher Program

1.1 Program Overview. The Program enables Publishers to run advertising campaigns for offers posted by Highwinds or its advertising partners ("Advertisers"). Each offer ("Posting") specifies the compensation terms, which are earned when a specified event occurs ("Action"), such as a click, lead, sale, registration, or other qualifying event.

1.2 Consumer Data. Any consumer information generated through an Action will be referred to as "Consumer Data."

1.3 Acceptance of Posting. By subscribing to a Posting and running it on Publisher's website(s), affiliated sites, or email lists ("Publisher Site"), Publisher accepts the terms of this Agreement.

1.4 Changes. Highwinds may modify or discontinue any Posting at any time. Publisher may also cease promoting a Posting at any time unless otherwise specified.

1.5 Eligibility. Publisher Sites must meet the following minimum requirements:

Written in English, targeting U.S. residents only.
Operated under a top-level domain name.
Free from viruses, malware, spyware, or harmful code.
Fully functional (no "under construction" pages).
Must not incentivize users to complete Actions.
Must not spawn pop-ups, pop-unders, or similar intrusive elements.

[H2] 2. Publisher Responsibilities

2.1 Publisher is solely responsible for developing, operating, and maintaining the Publisher Site(s), including hosting, technical performance, compliance, and all published materials.

2.2 Publisher must not use misleading or deceptive content and must comply with all applicable laws and regulations.

2.3 Publisher acts as an independent contractor and is responsible for its own taxes.

2.4 Publisher may not present itself as an agent, employee, or partner of Highwinds.

2.5 Publisher must not alter or interfere with Highwinds' tracking, links, pixels, or technology.

2.6 Highwinds provides creative materials and tracking links. Publisher must host creatives responsibly to avoid ISP blacklisting.

2.7 Publisher is fully responsible for the actions of any subcontractors, affiliates, or sub-publishers ("Sub-Publishers") and must ensure they comply with this Agreement.

[H2] 3. Advertising & Restrictions

3.1 Highwinds will provide approved advertising content ("Advertising Content") for each Posting. Publisher may not modify Advertising Content without written consent.

3.2 Highwinds grants Publisher a limited, nonexclusive, revocable license to display Advertising Content for the sole purpose of participating in the Program.

3.3 Non-Solicitation. For one (1) year after termination, Publisher may not directly or indirectly engage with Highwinds' Advertisers outside the Program. Any violation will result in forfeiture of profits and immediate termination.

3.4 Highwinds may identify Publisher as a participant in the Program. Publisher may not issue press releases or public communications without Highwinds' written consent.

[H2] 4. Commission Fees & Payments

4.1 Publisher will earn commissions on qualifying Actions as defined in each Posting. Payments are in U.S. Dollars.

4.2 Upon termination, Publisher will only be paid for valid commissions earned prior to termination, minus fraudulent or canceled Actions.

4.3 Highwinds' tracking and reporting are final and binding. Disputes must be submitted in writing within ten (10) days.

4.4 Payments are generally made weekly (Monday–Sunday cycles) with the following methods and minimums:

*Publisher's bank or PayPal may charge additional fees.

4.5 Highwinds may withhold payments if advertiser funds are unpaid or fraudulent activity is suspected.

4.6 If Publisher is also an advertiser owing Highwinds payment, Highwinds may offset Publisher's commissions against outstanding balances.

4.7 Highwinds reserves the right to audit Publisher's records for compliance. Fraudulent or noncompliant activity will result in Publisher covering audit costs.

4.8 Publisher must comply with OFAC and anti-money laundering regulations.

[H2] 5. Referral Program

Publisher may earn referral commissions (typically 1%) for referring new accounts.

Referral payments terminate after one (1) year unless otherwise extended by Highwinds.

Self-referrals or fraudulent referrals are prohibited and will result in forfeiture of commissions.

[H2] 6. Term & Termination

This Agreement begins upon acceptance of Publisher's application and continues until terminated.

Either Party may terminate at any time with or without cause, upon written or electronic notice.

Upon termination, Publisher must immediately remove all Postings, links, and proprietary materials.

[H2] 7. Fraud & Compliance

Fraudulent activity (fake leads, inflated traffic, bots, cloaking, etc.) will result in forfeiture of all commissions and termination.

Highwinds may report suspected fraud to regulators and law enforcement.

Publisher must provide evidence if fraud is disputed. Highwinds' determination is final.

[H2] 8. Spam & Texting Policy

Publisher must comply with CAN-SPAM Act and other applicable marketing laws.

No unsolicited emails, misleading headers, or deceptive practices.

No use of text messaging to generate Actions. Violations result in termination and forfeiture of commissions.

Compliance with the TCPA is required.

[H2] 9. Consumer Data

Publisher must maintain and display a privacy policy.

Consumer Data may only be collected, used, and shared as permitted by law and with consumer consent.

Once Consumer Data is provided to Highwinds, Publisher must delete it from its systems.

Highwinds retains all rights to Consumer Data.

[H2] 10. Representations & Warranties

Publisher represents and warrants that:

It has the authority to enter into this Agreement.
It will comply with all laws, rules, and industry standards (including Online Lenders Alliance best practices).
Its site will not contain illegal, harmful, defamatory, or infringing content.
Consumer Data is obtained lawfully with required authorizations.
Appropriate safeguards are in place to protect Consumer Data, including breach notification within 24 hours of discovery.

[H2] 11. Confidentiality

Both Parties agree to treat all proprietary, business, technical, and Consumer Data as confidential. Obligations survive termination.

[H2] 12. Indemnification

Publisher agrees to indemnify and hold harmless Highwinds and its Advertisers from claims, damages, or liabilities arising out of Publisher's actions, breach, or violations of law.

[H2] 13. Limitation of Liability

Highwinds' services are provided "as is." Highwinds disclaims all warranties, including implied warranties of merchantability, non-infringement, or fitness for a particular purpose.

Highwinds' liability to Publisher will not exceed the commissions paid to Publisher in the six (6) months preceding the claim.

[H2] 14. General Provisions

Governing Law: Nevada law applies. Disputes must be brought in Clark County, Nevada. Jury trial is waived.

Independent Contractors: Nothing creates a partnership or agency relationship.

Notices: Sent electronically or by certified mail to the addresses provided.

Force Majeure: Neither party is liable for events beyond reasonable control.

Assignment: Publisher may not assign this Agreement without Highwinds' consent.

Survival: Sections on confidentiality, indemnification, liability, and compliance survive termination.

By enrolling in the Program, Publisher confirms that it has read, understood, and agrees to be bound by these Terms & Conditions.
